Further to the press release of the Bank dated 14 July 2010, the terms and conditions of the Tenge denominated New Notes are now available on the Banks website: www.bta.kz/en/investor. The terms and conditions of the Senior Tenge Notes are similar to those of the Senior Dollar Notes and the terms and conditions of the Subordinated Tenge A Notes and the Subordinated Tenge B Notes are similar to those of the Dollar Subordinated Notes, in each case other than with respect to the interest rates. However in each case there are certain consequential differences as a result of the Notes being denominated in Tenge.
In particular, the definition of ‘Reinvestment Yield’ has been modified in the Senior Tenge Notes in order to take into account the change in currency.
Since the terms and conditions of the Senior Tenge Notes and Subordinated Tenge A Notes are now English law governed, meetings of holders of the Senior Tenge Notes will be combined with meetings of holders of the Senior Dollar Notes, and meetings of holders of the Subordinated Tenge A Notes will be combined with meetings of holders of the Dollar Subordinated and Euro Subordinated Notes. Changes to this effect have also been made to the Senior Dollar, Dollar Subordinated and Euro Subordinated Notes.
Claimants should note that payments of interest and principal in respect of Tenge-denominated New Notes cannot be made through Euroclear and Clearstream’s systems.
Original Issue Discount Notes
Certain modifications have been made to the terms and conditions of the Original Issue Discount Notes at the request of Clearstream and in order to clarify the way in which accretion of the notes will be reflected. In particular, a table has been added providing the aggregate accreted principal amount, net accreted principal amount, principal payments and interest payments as at any interest payment date.
